Please read carefully the terms and conditions below for the supply of consultancy and training from BiP Solutions’ Procurement Advice and Support Service (PASS). A contract shall be deemed to have been made between BiP Solutions Ltd ("BiP") and you only once you have confirmed your requirements via the booking form and BiP has accepted such a booking – a booking confirmation or an invoice being proof of such acceptance.
BOOKINGS
Confirmation that you wish to proceed with your PASS consultancy and / or training as per the written proposal document presented to you by your Account Manager must be provided in writing by completing, signing and returning the standard booking form provided to you by BiP. Booking forms will be accepted by facsimile, scanned and emailed, or posted.
Upon receipt of your written confirmation to proceed, BiP will consider your booking as contractually binding and subject to the terms and conditions contained herein. BiP will confirm your booking in writing.
BiP reserve the right to refuse bookings at their discretion, prior to confirmation that your booking has been accepted.
PAYMENT TERMS
All prices quoted are in pounds sterling and exclusive of VAT. In the event of the rate of VAT being increased between the date of acceptance of a booking and the date of the event, Clients shall only be charged the VAT applicable on the date of invoice. VAT rate changes will not be backdated or clawed back. Prices quoted exclude any related travel, lodging or other related expenses that may be incurred by BiP. Such costs will be chargeable to you and will be included on the final invoice.
Invoices will be issued within seven working days of the booking confirmation and must be paid within 30 days of the invoice date.
CANCELLATION
You have the right to cancel your PASS consultancy and / or training at any point; however, BiP must be notified in writing and the cancellation must be acknowledged.

RESCHEDULING
If for any reason the consultancy and / or training must be rescheduled by your organisation, the following charges will be applicable:
CANCELLATION OR RESCHEDULING BY BiP
BiP reserves the right to change consultants, speakers, programmes and content. BiP further reserves the right to cancel or reschedule any booked PASS consultancy and / or training at any time. In the unlikely event that such circumstances arise, BiP will make all reasonable efforts to provide alternative consultancy services or may offer return of any payments received in advance.
CONSEQUENCES OF FAILURE TO PAY
If payment is not made by the date stated on the invoice, this will be deemed a breach of contract, entitling BiP to claim damages.
FORCE MAJEURE
BiP will not be liable for any delay in performing or failure to perform its obligations under these terms and conditions due to any cause outside BiP's reasonable control. Such delay or failure shall not constitute a breach of these terms and conditions and the time for performance of the affected obligation shall be extended by such period as is reasonable.
PATENTS AND TRADE MARKS
All trademarks, service marks, trade names, slogans, logos and other indicia of origin that appear on or in connection with your PASS consultancy and / or training are the property of BiP and / or its affiliates. You may not copy, display or use any of these marks without prior written permission of the relevant owner. The event and / or portions of the event may be protected under patent law and may be the subject of issued patents and / or pending patent applications
LIMITATIONS OF LIABILITY
BiP does not accept responsibility for accident, injury or loss suffered while attending PASS consultancy and / or training unless it is directly due to negligence on BiP’s part.
BiP shall in no circumstances be liable to you for any special, indirect, consequential or pure economic loss, costs, damages, charges or expenses, loss of profit, loss of business, depletion of goodwill or similar loss, loss of anticipated profits, loss of goods, loss of contract or loss of use.
With regard to personal property brought to the PASS event, the liability of BiP shall be limited to the reasonable cost to either repairing or replacing such property subject to fair wear and tear. BiP accepts no responsibility for any loss incurred while using material or information gathered during your PASS consultancy and / or training.
CONSULTANTS
BiP reserve the right to subcontract work in order to fulfil any PASS consultancy and / or training bookings as they see fit. This includes the right to allocate and / or substitute consultants, depending on the skills, experience and availability of consultants. However, BiP will at all times do their utmost to provide a consultant whose skills and experience are relevant to that required by the Client.
EQUIPMENT
Prior to your PASS consultancy and / or training being carried out, a training pack will be sent to you. This material is confidential and must not be copied or passed to any third parties. Should any equipment other than a projector be required on the day of work, prior notice will be given by BiP.
Any hardware equipment or software licences that have been requested but not produced, and are required in order to fulfil the consultancy and / or training, may postpone the work until such requirements are available.
The copyright of all training material rests with the consultant and BiP may not be held responsible for any infringements as a result of plagiarism, libel, slander or any misuse of material.
BOOKING ISSUES
Should you require any specific changes or additional requirements to the booking prior to or during the delivery of your PASS consultancy and / or training, BiP must be informed in writing immediately. Such changes include but are not limited to changes in the number of delegates and change of venue or other details covered in the proposal document. Additional costs may be incurred as a result of such changes.
If PASS consultancy and / or training work is to be performed outside standard working hours (Monday to Friday, excluding public holidays, from 9am until 5.30pm), additional charges may apply. Such charges will be confirmed prior to the consultancy and / or training taking place.

ADMISSION RESTRICTIONS
BiP reserves the right to refuse admission or to eject delegates in reasonable circumstances (for example taking health and safety, environmental and security concerns into account). Delegates may also be refused entry or ejected from the venue on account of exhibiting anti-social behaviour. No refunds will be offered in respect of delegates who are refused entry or who are ejected in such circumstances.
RESPONSIBILITY
Where a third party venue is used, neither BiP nor the venue operator will be responsible for any loss, damage, death or injury whatsoever caused unless (i) the relevant party has breached its legal obligations and (ii) such loss or damage is a direct or reasonable foreseeable result of the breach. Subject to the foregoing with regard to personal property brought to the venue, the liability of the relevant party shall be limited to the reasonable cost of either repairing or replacing such property subject to fair wear and tear.
COMPLAINTS
In the unlikely event that you wish to make a complaint about your PASS event, please notify your Account Manager immediately in writing. BiP will then do everything reasonably possible to find a speedy and satisfactory solution.
PRIVACY
Your details are managed in accordance with BiP’s data protection policy and privacy policy.
LAW AND JURISDICTION
These terms and conditions shall be governed by and construed in accordance with the laws of Scotland and any disputes shall be subject to the non-exclusive jurisdiction of the courts of Scotland, unless otherwise submitted by BiP Solutions Ltd.
DEFINITIONS
‘Client’ refers to the company, organisation, trust or body to whom invoices are addressed.
‘Training’ and ‘Consultancy’ refers to the body of work to be performed by BiP Solutions Ltd.
‘Consultant(s)’ refers to the individual(s) who carry out the work supplied by BiP Solutions Ltd.
‘Working Hours’ means Monday to Friday, excluding public holidays, from 9am until 5.30pm.
‘In writing’ includes letter, fax and email.
‘Account Manager’ refers to the person who manages your account.
ADDITIONAL TERMS AND CONDITIONS SPECIFIC TO CAPS
Although BiP will endeavour to answer all questions within 24 hours, on some occasions the response time may be longer. This may be due to the length or complexity of questions. Responses to enquiries received through CAPS are given in good faith. However, no legal responsibility is taken for the actions of the recipient. Independent legal advice should be sought on major issues.
BiP reserves the right to clarify the ‘question’ and the number of credits it will take to answer, if required. CAPS licence is valid for 12 months from date of purchase. BiP holds the right to change these terms and conditions at any time
